1. Scope and Provider

These General Terms and Conditions govern the use of the Rundown service provided by Strana UG (haftungsbeschränkt), Schackstr. 1, c/o Kleinhempel & Partner, 80539 München, Germany ("Strana", "we", "us"). By using our service, you agree to these terms.

2. Service Description

Rundown is an AI-powered screencast recording service that automatically records narrated screencasts based on user-provided URLs and instructions. The service generates video recordings with AI-generated voiceover narration.

3. Account Registration

To use our service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Our service is designed for business use (B2B) — you must be at least 18 years old and acting on behalf of a legitimate business to create an account.

4. Credits and Payment

The service operates on a credit-based system. Credits are consumed when creating screencasts. Credit packages can be purchased through our platform. All purchases are final and non-refundable except as required by applicable law.

• Billing: Payments are processed by Stripe. Prices are displayed on our platform.
• Taxes: Prices are exclusive of applicable taxes (VAT). Taxes will be added based on your business location.
• Refunds: Purchases are non-refundable except where required by law. Unused credits do not expire unless your account is terminated.

5. Acceptable Use

You agree not to use the service to:

• Record content you do not have the right to access or distribute
• Create content that is illegal, harmful, or violates third-party rights
• Circumvent any security measures or access restrictions
• Use the service for any unlawful purpose
• Attempt to reverse engineer or extract the underlying technology

6. Intellectual Property

You retain ownership of the content you create using our service. By using the service, you grant us a limited license to process your content as necessary to provide the service. Our platform, technology, and branding remain the property of Strana.

7. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any aspect of the service at any time. We will provide reasonable notice of significant changes when possible.

8. Limitation of Liability

Our liability is governed by German law (BGB):

• Unlimited Liability: We have unlimited liability for damages caused by intent or gross negligence, as well as for injuries to life, body, or health.
• Limited Liability: For simple negligence in breach of material contractual obligations (cardinal duties), our liability is limited to the foreseeable, typically occurring damages, capped at the fees paid by you in the 12 months preceding the claim.
• Exclusion: We are not liable for indirect, incidental, or consequential damages, loss of profits, or loss of data to the extent permitted by law.
• AI Outputs: While we strive for high-quality recordings, we do not guarantee that outputs will be free from errors. You are responsible for reviewing all generated content before use.

9. Data Protection

We are committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR). When you use our service, we act as a data processor for certain data on your behalf. For full details:

10. Termination

You may terminate your account at any time. We may suspend or terminate your access if you violate these terms. Upon termination:

• Your right to use the service ceases immediately.
• You have 30 days to export your data.
• After the export period, we will delete your data from production systems in accordance with our Privacy Policy.
• Backup data is removed within 90 days of production deletion.

11. Governing Law

These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be subject to the exclusive jurisdiction of the courts of Munich, Germany, unless mandatory consumer protection laws provide otherwise.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by posting the updated terms on our website. Continued use of the service after such changes constitutes acceptance of the new terms.
